INTRODUCTION AND ACCEPTANCE

Welcome to Professional Digital Printing Solutions ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website, products, and services (collectively, the "Services") operated by Professional Digital Printing Solutions, a company registered in United States.

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Services.

2.1 Export Services

We provide international export services including but not limited to:

  • Product sourcing and manufacturing
  • Quality control and inspection
  • Export documentation and customs clearance
  • Logistics and shipping coordination
  • After-sales support and warranty services

2.2 Product Categories

Our export services cover the following product categories:

  • DTF (Direct-to-Film) Printing Equipment
  • UV DTF Printing Systems
  • UV Flatbed Printers
  • DTG (Direct-to-Garment) Printers
  • Custom manufacturing services
  • OEM/ODM solutions

2.3 Geographic Coverage

We provide export services to customers worldwide, subject to applicable laws and regulations of both origin and destination countries.

ORDERING AND PAYMENT TERMS

3.1 Order Process

  • All orders must be placed through our official channels
  • Orders are subject to acceptance by our company
  • We reserve the right to refuse or cancel orders at our discretion
  • Order confirmation will be provided within 2 business days

3.2 Pricing and Quotations

  • All prices are quoted in USD unless otherwise specified
  • Prices are valid for 30 days from the quotation date
  • Prices are subject to change without notice
  • Additional charges may apply for special requirements or modifications

3.3 Payment Terms

  • Payment methods: Wire transfer, Letter of Credit, Trade Assurance
  • Payment schedule: 30% deposit, 70% before shipment
  • Late payment charges: 1.5% per month on overdue amounts
  • Currency fluctuation adjustments may apply

3.4 Minimum Order Quantities

Minimum order quantities (MOQ) apply to all products and will be specified in each quotation.

MANUFACTURING AND QUALITY CONTROL

4.1 Production Timeline

  • Standard production time: 15-30 days after order confirmation
  • Rush orders available with additional charges
  • Production schedules are estimates and subject to change

4.2 Quality Standards

  • All products manufactured according to international standards
  • Quality control inspection before shipment
  • Compliance with destination country requirements
  • Third-party inspection services available upon request

4.3 Modifications and Changes

  • Order modifications accepted before production starts
  • Change fees may apply for modifications after production commencement
  • No modifications accepted after production completion

SHIPPING AND DELIVERY

5.1 Shipping Terms

  • Standard shipping terms: FOB, CIF, EXW as specified in order
  • Shipping costs responsibility as per agreed Incoterms
  • Delivery timeframes are estimates only
  • Risk of loss transfers according to agreed shipping terms

5.2 Export Documentation

  • We provide all necessary export documentation
  • Import permits and customs clearance are buyer's responsibility
  • Additional documentation fees may apply

5.3 Delivery and Inspection

  • Goods must be inspected upon delivery
  • Damage or shortage claims must be reported within 7 days
  • Acceptance of goods after inspection period waives claims

WARRANTIES AND RETURNS

6.1 Product Warranties

  • Manufacturing defects: 12 months from delivery date
  • Warranty covers repair or replacement at our discretion
  • Warranty excludes normal wear, misuse, or damage
  • Return shipping costs for warranty claims borne by buyer

6.2 Return Policy

  • Returns accepted only for defective products
  • Return authorization required before shipment
  • Returned goods must be in original condition
  • Return shipping costs are buyer's responsibility unless product defect

6.3 Warranty Limitations

  • Warranty is limited to product replacement or repair
  • No consequential or incidental damages covered
  • Maximum liability limited to order value

INTELLECTUAL PROPERTY

7.1 Company IP Rights

  • All company trademarks, logos, and content are protected
  • No license granted to use our intellectual property
  • Unauthorized use is strictly prohibited

7.2 Customer IP Rights

  • We respect customer intellectual property rights
  • NDA agreements available for sensitive projects
  • Custom designs remain customer property after full payment

7.3 IP Infringement

  • Customers warrant their orders don't infringe third-party rights
  • Customer indemnifies us against IP infringement claims
  • We may suspend services if infringement is suspected

LIMITATION OF LIABILITY

8.1 Liability Limitations

  • Total liability limited to order value
  • No liability for indirect, consequential, or punitive damages
  • No liability for business interruption or lost profits
  • Force majeure events excuse performance

8.2 Indemnification

  • Customer indemnifies us against third-party claims
  • Indemnification covers legal fees and damages
  • Notice requirements for indemnification claims

8.3 Insurance

  • We maintain appropriate business insurance
  • Additional insurance coverage available upon request
  • Insurance claims procedures will be provided when applicable

DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.

GENERAL PROVISIONS

  • These Terms remain in effect until terminated
  • Either party may terminate with 30 days notice
  • Termination doesn't affect existing orders
  • Survival of relevant provisions after termination

12.2 Modifications

  • We may modify these Terms at any time
  • Changes effective upon posting on our website
  • Continued use constitutes acceptance of changes
  • Material changes require explicit consent

12.3 Severability

  • Invalid provisions don't affect remaining Terms
  • Reasonable interpretations preferred
  • Partial invalidity doesn't void entire agreement

12.4 Assignment

  • We may assign these Terms without consent
  • Customer assignment requires our written consent
  • Assignment doesn't relieve original party obligations

12.5 Entire Agreement

  • These Terms constitute the entire agreement
  • Supersedes all prior negotiations and agreements
  • Written modifications only
  • No oral modifications accepted
